BidScan Product Terms of Service

These Product Terms govern the BidScan product (accounts and document scanning). The public landing page and waitlist are governed by the separate BidScan Use-of-Site Terms (bidscan.ai/terms). If you have a signed engagement letter or custom-build agreement with FlowState IQ LLC, that agreement governs and controls over these Terms to the extent of any conflict.

1. Scope and Acceptance

These Product Terms (the "Terms") govern your registration for and use of BidScan, a document-analysis service operated by FlowState IQ LLC, an Illinois limited liability company ("FlowState IQ," "we," "us," or "our"), under its OperatorIQ brand. "BidScan" and "OperatorIQ" are product and brand names of FlowState IQ LLC; they are not separate legal entities. FlowState IQ LLC is the contracting and operating party for all purposes under these Terms.

By checking the acceptance box and proceeding, you agree to these Terms and to the Privacy Policy, which is incorporated by reference. You must affirmatively accept these Terms before you create an account or submit any document for scanning — including a free scan. If you are accepting on behalf of a company or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not create an account or submit any document.

You must be at least 18 years old and capable of forming a binding contract to use BidScan.

2. Account Registration

To use BidScan you create an account. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity under your account. Notify us promptly at hello@flowstateiq.com of any unauthorized use. We may refuse, suspend, or terminate any account in our reasonable discretion (see §12).

3. The Service; Free Scans

BidScan analyzes bid and procurement documents you submit and returns findings — including what your documents do not contain. BidScan is a product in development; features, availability, and pricing may change.

Free scans. We may offer scans at no charge. A free scan is provided as an accommodation, creates no obligation on either party, and is subject to these Terms in full — including the data, disclaimer, warranty, liability, and indemnification provisions below. No fee does not mean no terms: the protections in these Terms apply to free scans exactly as they apply to paid use.

4. Your Documents and Data

"Your Documents" means the files, text, and content you submit to BidScan. "Your Data" means Your Documents together with your account information and the records of your use.

4.1 Ownership

You retain all right, title, and interest in Your Documents. Nothing in these Terms transfers ownership of Your Documents to FlowState IQ.

4.2 License to Operate

You grant FlowState IQ a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, process, and analyze Your Documents solely to provide the BidScan service to you, to maintain and secure the service, and to create the Derived Data described in §4.4. This license exists only to make BidScan work; it ends as to Your Documents when they are deleted under §4.7.

4.3 Your Representations and Warranties

You represent and warrant, each time you submit a document, that:

  • You own Your Documents or have all rights and permissions necessary to submit them to BidScan and to authorize the processing described here;
  • Your submission and our processing of it do not and will not breach any contract, non-disclosure agreement, confidentiality obligation, license, or other duty you owe to any third party;
  • Your Documents do not violate any applicable law or any intellectual-property, privacy, or other right of any third party; and
  • You have provided any notices and obtained any consents required for any personal information contained in Your Documents.

You are solely responsible for what you submit. If you do not have the right to submit a document — for example, because it is subject to someone else's non-disclosure agreement or marked confidential by its owner — do not submit it.

4.4 Derived Data and the Corpus

"Derived Data" means the embeddings, extracted structure, indices, analyses, model inputs and outputs, and learnings that BidScan generates from Your Documents in the course of producing your results. Derived Data is owned by FlowState IQ; Your Documents are not.

Your account is corpus-attached: your prior scans inform and sharpen your future scans within your own account. We may use de-identified, aggregated learnings (de-identified to the standard described in our Privacy Policy) to improve the BidScan service generally. We do not use your raw documents, their identifiable contents, or your results for that purpose, and we never use them to generate results for any other customer (see §4.5).

4.5 No Cross-Tenant Use

We do not use Your Documents, their contents, or your results to generate analyses for any other customer. We do not sell Your Data. Your corpus stays your own.

4.6 AI Processing

Your Documents are processed by third-party artificial-intelligence services to produce your results. Our current AI provider is Anthropic (Claude). Data sent to Anthropic's API is not used by Anthropic to train its models. For more on how Your Data is processed, see the Privacy Policy.

4.7 Retention and Deletion

We retain Your Data in accordance with the Privacy Policy. You may request deletion of Your Documents at any time by emailing hello@flowstateiq.com; we will delete Your Documents within thirty (30) days of a verified request. De-identified, aggregated learnings already incorporated into the BidScan service are not reversible and are not deleted by such a request.

4.8 Our Confidentiality Commitment

We treat Your Documents as confidential. We do not disclose them to third parties except (a) sub-processors that operate the service under confidentiality obligations (for example, hosting and AI processing), (b) as you direct, or (c) as required by law. We apply reasonable administrative, technical, and physical safeguards designed to protect Your Data.

5. Acceptable Use

You agree to use BidScan lawfully and in good faith. You will not:

  • Submit documents you do not have the right to submit (see §4.3);
  • Submit malware, or content that is unlawful, infringing, or that you are contractually barred from disclosing;
  • Reverse-engineer, decompile, or attempt to derive the source code, schemas, prompt structures, models, or methodology of BidScan or any FlowState IQ build;
  • Scrape, crawl, or harvest the service; probe or test its security; or circumvent authentication, access controls, or rate limits;
  • Resell, sublicense, or provide the service to third parties except as expressly permitted;
  • Use BidScan to build or train a competing product or service; or
  • Use the service in violation of applicable law, including U.S. export-control and sanctions laws.

We may suspend or terminate access for any violation (see §12).

6. Intellectual Property

6.1 FlowState IQ IP

BidScan — including its design, features, methodologies, question and finding libraries, analytical frameworks, prompt structures, models, and all related intellectual-property rights, together with all Derived Data — is and remains the exclusive property of FlowState IQ LLC. These Terms grant you no right in any of the foregoing except the limited right to use the service under these Terms.

6.2 Your Results

The findings and reports BidScan generates for you from Your Documents ("Results") are licensed to you on a perpetual, non-exclusive, royalty-free basis to use in your business operations. The methodologies, frameworks, and structures that produced the Results remain FlowState IQ's exclusive property (§6.1).

6.3 Feedback

If you send us feedback, suggestions, or ideas, you grant FlowState IQ an unrestricted, irrevocable, perpetual, royalty-free license to use them for any purpose without obligation or compensation to you.

7. Scan-Output Disclaimer

BIDSCAN USES ARTIFICIAL INTELLIGENCE TO ANALYZE DOCUMENTS AND GENERATE FINDINGS, INCLUDING FINDINGS ABOUT WHAT YOUR DOCUMENTS DO NOT CONTAIN. These outputs are provided for informational purposes only and are not professional advice of any kind — not legal, financial, accounting, bid, estimating, engineering, or consulting advice.

AI-generated findings may contain errors, omissions, or inaccuracies, and may miss issues that are present or flag issues that are not. BidScan does not guarantee that its findings are accurate, complete, or current. You are solely responsible for evaluating the Results and for any decision you make based on them. Your own judgment governs every bid, submission, and business decision — BidScan informs that judgment; it does not replace it, and you do not rely on it as a substitute for professional advice or your own review.

8. Warranty Disclaimer

BIDSCAN IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FlowState IQ disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, timely, secure, error-free, or that findings will be accurate or complete. No information obtained from BidScan creates any warranty not expressly stated here.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLOWSTATE IQ LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS — INCLUDING ANY LOST, MISPRICED, OR UNSUCCESSFUL BID — ARISING OUT OF OR RELATING TO THE SERVICE OR ANY FINDING, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSTATE IQ'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID FOR BIDSCAN IN THE THREE (3) MONTHS BEFORE THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow certain limitations; there, our liability is limited to the maximum extent permitted.

10. Indemnification

You agree to defend, indemnify, and hold harmless FlowState IQ LLC and its members, officers, employees, agents, and service providers from and against any claim, liability, damage, loss, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) Your Documents or our processing of them, including any claim that they breach a third party's confidentiality, contract, intellectual-property, or privacy rights; (b) your breach of these Terms or your representations in §4.3; (c) your use of the service or the Results; or (d) your violation of applicable law.

11. Dispute Resolution

11.1 Good-faith negotiation. The parties will try in good faith to resolve any dispute by direct negotiation. If unresolved within thirty (30) days of written notice, either may proceed under §11.2.

11.2 Forum. Each party irrevocably consents to the exclusive jurisdiction of the state and federal courts in Cook County, Illinois, and waives any objection to venue or forum.

11.3 Class-action waiver. YOU AND FLOWSTATE IQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

11.4 Small-claims exception. Either party may bring an individual action in small-claims court within that court's jurisdictional limits.

11.5 Governing law. Illinois law governs, without regard to conflict-of-laws principles.

12. Termination

We may suspend or terminate your access at any time, with or without cause and with or without notice. For terminations based on alleged breach, we will, where reasonably practicable, give notice and a ten (10) business-day opportunity to cure, except where the breach cannot be cured or causes immediate harm.

On termination, your right to use BidScan ends. Your Data is retained and deleted per the Privacy Policy and §4.7. Provisions that by their nature survive — §4 (data, representations), §6 (intellectual property), §7–§10 (disclaimers, liability, indemnification), and §11 (dispute resolution) — survive termination.

13. Modifications to Terms

We may modify these Terms. We will post the updated Terms and update the "Last Updated" date; material changes take effect thirty (30) days after posting or, for active accounts, on your next acceptance, whichever the signup flow presents. Continued use after the effective date is acceptance. If you do not agree, stop using BidScan.

14. General Provisions

14.1 Entire agreement. These Terms, with the Privacy Policy and any signed engagement letter or custom-build agreement (which controls on conflict), are the entire agreement regarding BidScan and supersede prior understandings. 14.2 Severability. If any provision is unenforceable, the rest remain in effect. 14.3 Waiver. No waiver is effective unless in writing; no single waiver is a continuing waiver. 14.4 Assignment. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets. 14.5 Force majeure. Neither party is liable for failures caused by events beyond reasonable control.
